Welcome to AXON9.

These Terms of Service ("Terms") govern your access to and use of the AXON9 website ("Website") and the AXON9 Distributor private media distribution platform ("Application").

By accessing the Website or using the Application, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our systems.

1. Scope of Service and Private Use

Private Enterprise Tool

AXON9 Distributor is a proprietary and closed-loop media management and distribution platform developed exclusively for internal business operations.

The Application is operated solely by AXON9 administrators, authorized content creators, contractors, and approved personnel acting on behalf of AXON9 and its affiliated entities.

No Public Access

The Application is not offered as a public service.

AXON9 does not provide:

• Public user registration;

• Software-as-a-Service (SaaS) subscriptions;

• Multi-tenant hosting environments;

• Third-party licensing of the platform;

• Commercial access for external users.

Access is restricted to authorized personnel only.

2. Integration with Third-Party Platforms and APIs

The Application facilitates automated content scheduling, management, and publishing through official third-party APIs.

Users authorized to operate within the AXON9 ecosystem must comply with all applicable policies, terms, and developer requirements of the respective platforms, including but not limited to:

• YouTube Data API Services Terms of Service;

• Google Terms of Service;

• TikTok Terms of Service;

• Meta Platform Terms;

• Facebook Terms of Service;

• Instagram Terms of Use.

AXON9 does not control or modify the policies of these third-party providers.

Any violation of applicable API policies, platform guidelines, or developer requirements may result in immediate suspension or termination of access to AXON9 systems.

3. Authorized Use of Internal Automation Tools

The automation engines, publishing tools, scripts, workflows, and infrastructure developed within the AXON9 ecosystem are intended exclusively for legitimate internal corporate operations.

Users shall not use the Application to:

• Upload or distribute content that infringes third-party copyrights;

• Violate intellectual property rights;

• Circumvent platform moderation systems;

• Engage in deceptive or misleading publishing practices;

• Violate YouTube, Google, TikTok, Meta, Facebook, or Instagram policies.

All automated publishing activities must be performed using:

• Corporate-owned or authorized devices;

• Officially approved business accounts;

• Verified Google Workspace or equivalent enterprise credentials where applicable.

4. Intellectual Property and Content Ownership

AXON9 Intellectual Property

All software, source code, workflows, automation systems, databases, publishing pipelines, visual assets, branding elements, and proprietary technologies associated with AXON9 remain the exclusive property of AXON9 and its parent company.

Synthetic Media and Virtual Identities

All virtual brands, AI-generated artists, synthetic characters, voice models, avatars, generated images, videos, audio content, prompts, automation scripts, and associated intellectual property are owned exclusively by AXON9 and its parent company unless otherwise stated.

Metadata Ownership

Titles, descriptions, tags, captions, hashtags, metadata, and publishing information generated by AXON9 systems are proprietary corporate assets.

Unauthorized scraping, extraction, reproduction, cloning, or redistribution of AXON9 intellectual property is strictly prohibited.

5. Prohibited Use

Users are strictly prohibited from:

• Distributing spam or malicious content;

• Publishing misleading or deceptive metadata;

• Violating applicable copyright laws;

• Reverse-engineering, decompiling, disassembling, or attempting to access proprietary source code;

• Circumventing authentication systems or security controls;

• Abusing API quotas or rate limits assigned to AXON9;

• Using the Application for unlawful activities;

• Interfering with system integrity, availability, or security.

Any unauthorized activity may result in immediate termination of access and potential legal action.

6. Limitation of Liability

To the maximum extent permitted by applicable law, AXON9 and its parent company shall not be liable for:

• Service interruptions;

• Platform outages;

• API deprecations;

• Changes in third-party platform functionality;

• Account restrictions imposed by social media providers;

• Quota limitations;

• Algorithmic ranking changes;

• Shadow bans or visibility reductions imposed by third-party platforms;

• Loss of business opportunities resulting from platform decisions beyond AXON9's control.

All automated actions are performed at the discretion and risk of the operating corporate entity.

7. System Security and Server Maintenance

Hosting Infrastructure

The AXON9 distribution infrastructure operates on secured and restricted Virtual Private Servers (VPS) and related cloud services.

Access is limited to authorized personnel.

Data Sanitization

To enhance operational security, media files processed through the Application may be automatically deleted after successful publication confirmation from the destination platform.

AXON9 does not guarantee permanent storage of uploaded media assets on processing servers.

Security Monitoring

AXON9 reserves the right to monitor, audit, log, and review system activity for security, compliance, operational, and troubleshooting purposes.

8. Privacy and Data Processing

AXON9 processes personal and account-related information in accordance with its Privacy Policy.

Where applicable, the Application may process:

• OAuth authentication tokens;

• Account identifiers;

• Publishing metadata;

• Content management information;

• Performance and operational logs.

Such information is processed solely for legitimate operational purposes related to media management, scheduling, publishing, monitoring, and platform administration.

AXON9 implements reasonable technical and organizational safeguards to protect such information from unauthorized access, disclosure, alteration, or destruction.

9. API Data Usage and Compliance

Data obtained through third-party APIs is used exclusively for the operation of AXON9 internal publishing and content management systems.

AXON9 does not:

• Sell API-derived user data;

• Transfer API-derived user data to unauthorized third parties;

• Use API-derived information for advertising profiling unrelated to Application operations.

Any data retrieved through YouTube Data API Services, Meta APIs, TikTok APIs, or similar services is processed only to provide authorized publishing, scheduling, reporting, and content management functions.

10. Corporate Identity and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Italy.

Any dispute arising out of or relating to these Terms, the Website, or the Application shall be subject to the exclusive jurisdiction of the competent courts of Italy.
